Terms and Conditions for the Ordering and Supply of fully equipped Stands

1. Order Placement

(1) Orders for fully equipped stands shall be placed by submitting a completely filled out form for ordering fully equipped stands applying to the event in question. Oral or telephone orders shall be confirmed by exhibitors in writing.

(2) Orders shall be signed by the applicant. One copy only shall be submitted, and must be received by Messe Frankfurt Medien und Service GmbH no later than six (6) weeks prior to the opening of the event involved, otherwise no liability for their timely completion will be assumed. Orders submitted by third parties (stand builders) shall be accepted and completed only if they bear the exhibitor's signature and company seal or the third party involved has been granted power of attorney to sign same on behalf of the exhibitor.

(3) If orders are received 10 days or less before the start of the event, Messe Frankfurt reserves the right to charge a flat rate of 40% for the extra work involved.

2. Description of Items to be Provided

(1) Messe Frankfurt Medien und Service GmbH shall have a fully equipped stand supplied, based on exhibitors' orders. Stand furnishings for the various stand types will be as specified in the service folders for the respective events. Additional stand furnishings may be ordered at our standard rates.

(2) Orders shall be accompanied by a scale drawing of the stand (stand sketch). No work on orders will be undertaken until said stand sketch has been submitted. A form for said sketch is included in the service folder.

3. Invoicing

(1) Invoices shall be due and payable upon receipt. Messe Frankfurt Medien und Service GmbH shall be entitled to issue invoices before performance of services.

(2) The charges listed in our current price list shall be binding upon both parties. Any services that do not appear in the list are not included in the charges stated therein and shall, where applicable, be invoiced separately.

(3) If rented furniture has been supplied or additional services provided (e.g. lighting, shelves, stand panels) and an order is then cancelled, the exhibitor will be charged for the services in full. There will be no reimbursement.

(4) Conversion work performed on site and based on the exhibitor's requests for changes will be invoiced per hour worked plus the mate-rial used.

(5) Counterclaims can only be offset if they are undisputed or have been confirmed by a court of law in a final form.

(6) Complaints regarding failure to deliver ordered items or uncompleted services/missing items must be received by Messe Frankfurt Medien und Service GmbH no later than the first day of the trade fair. Any complaints submitted thereafter will be disregarded.

4. Cancellations by the Ordering Party

In the event that an order is to be cancelled, Messe Frankfurt Medien und Service GmbH shall be notified thereof in detail in writing no later than three (3) weeks prior to the opening of the event involved. Cancellations can be accepted at later dates only if the respective service(s) have not yet been provided or provision thereof has not yet commenced. The same shall apply analogously to any changes to ordered services.

5. General Conditions

(1) Both parties to the agreement accept these terms and conditions as integral parts of the agreement binding upon both parties.

(2) If individual provisions of this agreement are or become invalid, such invalidity shall not affect the remaining provisions. In such a case, both contracting parties undertake to replace the invalid provision by a valid provision that most closely achieves the commercial purpose intended by the invalid provision.

(3) Both parties to the agreement explicitly agree Frankfurt am Main to be the place of performance and place of jurisdiction for all claims and disputes arising from this agreement.

Terms and Conditions for the Ordering and Supply of Additional Stand Equipment

(1) Orders for additional stand equipment shall be placed by submitting a completely filled out order form for ordering additional stand equipment applying to the event in question. Oral or telephone orders shall be confirmed by exhibitors in writing.

(2) Orders shall be signed by the applicant. One copy only shall be submitted, and must be received by Messe Frankfurt Medien und Service GmbH, Messebau (Stand Construction), hereinafter referred to as "MFS", no later than six (6) weeks prior to the opening of the event involved, otherwise no liability for their timely completion will be assumed. Orders submitted by third parties (stand builders) shall be accepted and completed only if they bear the exhibitor's signature and company seal or the third party involved has been granted power of attorney to sign same on behalf of the exhibitor.

(3) If orders are received 10 days or less before the start of the event, Messe Frankfurt reserves the right to charge a flat rate of 40% for the extra work involved.

2. Description of Items to be Provided

(1) MFS (Stand Construction) shall have the ordered stand equipment made available, based on exhibitors' orders. The items available are, in particular:

(a) Door element, lockable, complete with mortise lock: The door aperture is 0.74 m x 2.00 m. The door element measures 1.00 m x 2.50 m, and mates to the stand wall system.

(b) Panel: Approximately 35 cm high, consisting of an aluminium construction with an inscription plate that is approximately 3 mm thick and coated with white plastic inserted into its front side. Free spans require supports at 5-m intervals.

(c) Pinboard: Fabricated from 10-mm soft fibreboard, painted white, framed on all sides by an aluminium frame measuring 0.96 m x 2.42 m, and equipped with mounting brackets compatible with the stand wall system. The maximum load per board is 10 kg.

(d) Perforated wall: Consists of a sheet of hard fibreboard with rows of holes spaced at centre-to-centre intervals of 16 mm. Hole diameter is 4 mm. Its surface is coated with white plastic. Framed on all sides by an aluminium frame measuring 0.96 m x 2.42 m. The maximum total load per board is 10 kg.

3. Invoicing

(1) Invoices shall be due and payable upon receipt. MFS shall be entitled to issue invoices before performance of services.

(2) The charges listed in our currently valid price list shall be binding upon both parties hereto. Any services that do not appear in the list are not included in the charges stated therein and shall, where applicable, be invoiced separately.

(3) Counterclaims can only be offset if they are undisputed or have been confirmed by a court of law in a final form.

(4) Complaints regarding failure to deliver ordered items or uncompleted services/missing items must be received by the vendor/supplier involved no later than the first day of the trade fair. Any complaints submitted thereafter will be disregarded.

4. Cancellations by the Ordering Party

In the event that an order is to be cancelled, MFS (Stand Construction) shall be notified thereof in writing no later than three (3) weeks prior to the opening of the event, reckoned from the date same is received. Cancellations can be accepted at later dates only if the respective service(s) - or parts thereof - have not yet been provided or provision thereof has not yet commenced.
